Terms of Service

Welcome to Proper Fit, a service provided by Northstar Apps LLC ("we," "us," or "our"). By accessing or using the Proper Fit application ("Service"), you agree to be bound by these Terms of Service. Please read them carefully.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 18 years of age, that you have read and understood these Terms, and that you agree to be legally bound by them. If you do not agree, please do not use the Service.

2. Description of Service

Proper Fit is an AI-powered seasonal color analysis and personal styling application that helps users discover their color palette through photo uploads and provides outfit recommendations. The Service is offered in three tiers:

Yearly billing options are available at discounted rates. Feature availability may change as we develop the Service.

3. User Accounts

You must create an account to access most features. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate information during registration and to update it as needed. Notify us immediately at support@getproperfit.com if you suspect unauthorized access to your account.

4. Subscription & Billing

4.1 Payments

Paid subscriptions are billed through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis at the rate applicable to your selected plan.

4.2 Cancellations & Refunds

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period; you will retain access to paid features through that date. We do not provide prorated refunds for unused portions of a billing period, except where required by applicable law.

4.3 Price Changes

We may change subscription prices with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. User-Submitted Content

You retain ownership of photos and other content you upload to the Service ("User Content"). By uploading User Content, you grant Northstar Apps LLC a limited, non-exclusive, royalty-free license to process and analyze that content solely for the purpose of providing the Service to you. We do not sell your photos or use them to train AI models without your explicit consent.

You agree not to upload content that is illegal, violates any third-party rights, or is otherwise harmful or offensive. We reserve the right to remove content that violates these Terms.

6. Acceptable Use

You agree to use the Service only for lawful personal styling and fashion purposes. You may not: (a) reverse engineer or attempt to extract source code from the Service; (b) use automated means to scrape or access the Service; (c) impersonate another person or entity; (d) interfere with or disrupt the Service or servers; or (e) use the Service to develop a competing product.

7. Intellectual Property

The Proper Fit name, logo, application design, AI models, and all related content (excluding User Content) are owned by Northstar Apps LLC and protected by intellectual property laws. Nothing in these Terms grants you any rights to use our trademarks or proprietary content outside of normal use of the Service.

8. AI-Generated Recommendations

Color analysis results, outfit suggestions, and AI stylist chat responses are generated by artificial intelligence and are intended for personal informational and styling purposes only. Results may not always be accurate and should not be relied upon as professional fashion advice. We make no warranty regarding the accuracy or suitability of AI-generated recommendations for your particular circumstances.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTHSTAR APPS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Northstar Apps LLC from any claims, damages, losses, and expenses (including reasonable attorney's fees) arising from your use of the Service, your User Content, or your violation of these Terms.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason with reasonable notice. You may delete your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by a notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

14. Dispute Resolution & Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. You may opt out of arbitration within 30 days of first agreeing to these Terms by emailing support@getproperfit.com with the subject "Arbitration Opt-Out."

Class Action Waiver

You and Northstar Apps LLC agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action.

Exceptions

Either party may bring an individual claim in small claims court. Either party may seek emergency injunctive relief in court to prevent irreparable harm pending arbitration.

15. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Illinois.
